Payment and Membership Management Terms

  1. To become a member of this Website, you need to pay the membership fee as agreed. The fee standards and payment methods are subject to the website's public announcements. IAPUC reserves the right to change the fee standards according to service adjustments, and such changes will be notified to users through website announcements 30 days in advance.
  2. Once the membership fee is paid, it will not be refunded except as otherwise agreed in these Terms or required by law.
  3. The validity period of the membership qualification shall be subject to the agreement at the time of activation. If the renewal is not completed in accordance with the relevant provisions before the expiration, the membership qualification will be automatically terminated, and the corresponding membership rights and interests will no longer be enjoyed.
  4. If a member violates these Terms, IAPUC reserves the right to suspend or terminate their membership qualification, and the paid membership fee will not be refunded.

Dispute Resolution Terms

  2. Initial Resolution: After a dispute is raised, we will respond and attempt to resolve it within 5 business days.
  3. Escalation Process: If the initial resolution result fails to meet your reasonable demands, the dispute will be submitted to IAPUC's senior management team for further review and resolution.
  4. Governing Law and Jurisdiction: Any legal disputes or claims arising from this Service shall be governed by the laws of the State of Wyoming and adjudicated by the courts of the State of Wyoming with competent jurisdiction.
  5. Limitation Period: Users shall raise any disputes within one year from the date of the event or transaction giving rise to the dispute; otherwise, the relevant rights shall be deemed waived.

Indemnification Terms

You agree to indemnify, defend, and hold harmless IAPUC, its officers, directors, employees, agents, and third parties from any losses, costs, liabilities, and expenses (including reasonable attorney's fees) arising out of or in connection with: your use of or inability to use the Website or services; any content posted by you; your violation of these Terms; your infringement of third-party rights; your violation of any applicable laws, rules, or regulations. IAPUC reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you at its own cost, in which case you shall fully cooperate with IAPUC in exercising relevant defense rights.

Arbitration Terms

If the parties fail to resolve any dispute arising out of or in connection with these Terms (including disputes of a contractual, tortious, or other legal nature, involving damages or other remedies) through negotiation, such dispute shall be resolved by final and binding arbitration conducted by a single neutral arbitrator in accordance with the Federal Arbitration Act. The arbitration shall be administered by the American Arbitration Association or a similar arbitration institution selected by the parties, and the arbitration venue shall be mutually agreed upon by the parties. The arbitral award shall be final and enforceable by any court with competent jurisdiction. If any legal action, proceeding, or arbitration arises from these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees from the other party. The parties agree that all disputes related to these Terms (including tort disputes arising directly or indirectly) shall be resolved through arbitration, and this arbitration clause shall be governed by the Federal Arbitration Act. The arbitrator shall have the authority to determine the entire dispute, including the validity and scope of this arbitration clause. This arbitration clause shall survive the termination of these Terms.

Class Action Waiver Terms

Any arbitration conducted under these Terms shall be on an individual basis; class arbitrations, class actions, representative actions, or joint actions are not permitted. The parties agree that a party may assert claims against the other only in their individual capacity and not as a plaintiff or class member in any putative class, collective, and/or representative proceeding (such as a private attorney-general action) against the other party.
Furthermore, unless you and IAPUC agree otherwise, the arbitrator shall not consolidate the claims of multiple users or preside over any form of representative or class proceeding.

Liability Disclaimer Terms

The information, software, products, and services contained in or provided through this Website may contain inaccuracies or typographical errors, and relevant information will be updated periodically. IAPUC and its suppliers reserve the right to improve and/or update the Website at any time.
IAPUC and its suppliers make no representations or warranties regarding the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained on the Website for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided "as is" without any warranty or condition of any kind.
