1. General Provisions & Binding Legal Effect

These Terms of Use and Offer Terms (hereinafter collectively referred to as the “Terms”) are formally formulated in accordance with international higher education accreditation norms, global non-profit organizational operation standards and cross-border legal compliance requirements. This document serves as a legally binding and enforceable contractual agreement between the International Association of Private Universities and Colleges (“IAPUC”, “we”, “us”, “our”), a global non-profit higher education quality assurance and institutional accreditation organization, and all individual users, institutional representatives, registered member institutions, accreditation applicants, academic training participants, conference delegates, and all persons or entities that access, browse, register accounts, submit official applications, purchase services, or utilize any IAPUC platform resources (hereinafter collectively referred to as “Users”).

These Terms govern all access, browsing, registration, application submission, fee payment, service participation, resource utilization, and all interactive behaviors related to IAPUC’s official websites, subdomains, operational systems, service platforms, offline academic activities, institutional accreditation services, membership programs, and all free and paid official services. User’s continued access to and use of IAPUC platforms and services constitutes voluntary acknowledgment, full understanding, and unconditional acceptance of all provisions contained in these Terms, as well as all supplementary rules and referenced official institutional policies.

These Terms shall be construed and enforced concurrently with the IAPUC Privacy Policy, Cookie Policy, Refund Policy, Copyright Statement, Academic Ethics Code, and Accreditation Management Rules. All aforementioned documents form the complete, integrated legal compliance framework governing IAPUC’s service delivery, and are collectively binding on all Users without exception.

2. Public Offer Rules & Contract Formation Mechanism

In compliance with international civil law principles and standard practices of global higher education accreditation bodies, all service descriptions, service scopes, qualification criteria, procedural specifications, published fee schedules, service commitments, and official program statements displayed on IAPUC’s official channels constitute a valid, standing, and enforceable public offer to all eligible Users.

User’s completion of official account registration, valid service application submission, successful payment of official service fees, and confirmed participation in any paid IAPUC program or service shall be deemed as unconditional acceptance of the public offer. Such acceptance finalizes the formation of a formal service contractual relationship between IAPUC and the User, and all rights, obligations, and service conduct of both parties shall be exclusively governed by these Terms and supporting official policies.

IAPUC reserves the right to update, optimize, or adjust service contents, operational standards, and program structures to align with institutional development and evolving international academic accreditation standards. All adjustments shall apply prospectively only and shall not impair the legitimate rights and interests of Users who have completed valid service confirmation and payment prior to the effective date of adjustment.

3. User Eligibility, Authorization & Information Warranty

Users warrant that they possess full legal capacity, legal standing, and eligibility to enter into this contractual agreement and utilize IAPUC services. For all institutional Users, the individual submitting applications, managing accounts, and conducting official activities on behalf of the institution expressly warrants that he or she holds valid, formal institutional authorization to bind the institution to these Terms and all corresponding service behaviors and legal obligations.

Users guarantee that all registered profile information, institutional qualification documents, application materials, supporting credentials, and contact details submitted to IAPUC are true, accurate, complete, legally valid, and regularly updated. Users shall bear full and sole legal responsibility for all service rejection, qualification invalidation, review termination, cooperative relationship termination, and direct or indirect economic losses arising from false, forged, altered, incomplete, outdated, or misleading submitted information.

Users are solely and exclusively responsible for maintaining the confidentiality and security of their registered accounts, login credentials, access permissions, and operational records. All actions, submissions, applications, and transactions performed under a User’s registered account shall be conclusively deemed authorized actions of the User. Users shall promptly notify IAPUC in writing and initiate security remedial measures immediately upon discovering unauthorized account access, credential leakage, or abnormal operational activities.

4. User Code of Conduct & Prohibited Behaviors

While accessing IAPUC platforms and utilizing academic, accreditation, and membership services, Users shall comply with all applicable international conventions, cross-border regulatory requirements, local laws of relevant jurisdictions, and IAPUC’s institutional codes, academic ethics, and operational disciplines. The following activities are strictly prohibited:

(1) Publishing, uploading, transmitting, or disseminating illegal, infringing, fraudulent, defamatory, violent, discriminatory, politically sensitive, obscene, or unethical content that violates public order, academic integrity, or global internet compliance standards;

(2) Utilizing IAPUC’s official platforms, institutional reputation, certification credentials, academic resources, and membership privileges for unauthorized commercial promotion, private transactions, illegal fundraising, false institutional accreditation publicity, or any profit-making activity unrelated to IAPUC’s official non-profit academic mission;

(3) Launching network attacks, system intrusion, vulnerability scanning, data crawling, automated scraping, mirroring, caching, data tampering, or any technical interference that disrupts the normal and secure operation of IAPUC’s official websites and systems;

(4) Unauthorized reproduction, excerpting, modification, translation, re-publication, distribution, or commercial exploitation of IAPUC’s official policies, accreditation standards, review guidelines, training materials, academic reports, and institutional documents;

(5) Impersonating IAPUC administrative staff, expert reviewers, authorized institutional representatives, or certified institutional users to mislead third parties, forge official qualifications, or conduct fraudulent representation;

(6) Interfering with the independent professional judgment of IAPUC review experts, obstructing the normal progress of accreditation reviews, academic evaluations, and official events, or violating institutional academic discipline;

(7) Unauthorized transfer, resale, leasing, gifting, or speculative hyping of IAPUC membership qualifications, accreditation application quotas, service rights, and program access privileges;

(8) Engaging in any other conduct that harms the legitimate legal rights, institutional reputation, academic interests, or operational stability of IAPUC, partner institutions, and other registered Users.

Any violation of the above provisions shall constitute a material breach of these Terms. IAPUC reserves the right to impose disciplinary sanctions, including but not limited to official written warnings, account function restriction, temporary service suspension, application rejection, permanent qualification cancellation, membership termination, and institutional blacklisting. IAPUC further reserves all rights to pursue full civil, administrative, and legal remedies for resulting losses and damages.

5. Intellectual Property & Third-Party Licensed Resource Compliance

All independently compiled, officially formulated, and publicly released content produced by IAPUC, including but not limited to institutional policy frameworks, accreditation standards, quality evaluation systems, academic guidelines, original textual content, brand logos, graphic identifiers, and official document templates, are the exclusive intellectual property assets of IAPUC and protected by international copyright laws, global intellectual property conventions, and cross-border intellectual property protection regulations.

Certain website page templates, user interface frameworks, and functional plug-ins deployed on IAPUC’s official platforms are legally acquired via formal commercial licensing and authorized open-source channels from qualified third-party suppliers. All intellectual property rights, ownership rights, modification rights, and derivative works rights pertaining to such third-party resources remain exclusively with the original licensors. IAPUC holds only limited, non-exclusive, non-transferable, term-bound user rights for operational purposes and does not claim any ownership or proprietary rights over third-party licensed resources.

Users are granted restricted, non-commercial, non-transferable rights to view, browse, study, and reference IAPUC original content and licensed platform resources for personal academic research and internal institutional use only. No secondary creation, commercial dissemination, public reprinting, or profit-oriented utilization of any platform content is permitted without prior formal written authorization from IAPUC.

6. Paid Service Rules & Refund Governance Standards

All IAPUC paid services, including institutional membership fees, individual membership fees, accreditation application fees, document review fees, on-site inspection fees, expedited service fees, academic training tuition, and conference registration fees, are standardized official service offerings publicly announced and uniformly regulated by IAPUC. User’s successful payment and order confirmation constitutes full acceptance of all service specifications, fee rules, service cycles, and refund governance terms, establishing a legally binding paid service contractual relationship.

All paid service qualifications, membership rights, and accreditation application privileges are exclusive to the registered paying User or affiliated institutional entity. Unauthorized transfer, assignment, resale, leasing, or gifting of paid service rights to any third party is strictly prohibited and deemed null and void. IAPUC reserves the right to immediately terminate unauthorized service privileges without any refund or compensation.

All refund eligibility, full refund rules, partial refund proportional standards, non-refundable scenarios, and cost deduction specifications for paid services shall be governed exclusively by the latest official version of the IAPUC Refund Policy, which serves as the sole authoritative basis for all financial settlement and transaction dispute resolution.

7. Service Limitations & Official Liability Disclaimer

Users expressly acknowledge and agree that all IAPUC accreditation conclusions, expert review evaluations, academic quality assessment results, and professional advisory content represent objective, standardized academic judgments based on international higher education quality assurance benchmarks. Such results serve solely as professional academic references and institutional quality improvement guidance. They do not constitute governmental administrative recognition, legal adjudication, investment advice, or mandatory third-party binding conclusions.

IAPUC maintains standardized operational management and professional service quality control in accordance with international academic organization practices but does not guarantee uninterrupted, error-free, or fully defect-free platform operation. Temporary service suspension, system adjustment, functional abnormality, or service delay caused by system maintenance, technical iteration, network fluctuation, third-party platform failure, or force majeure events shall not constitute a breach of contract by IAPUC.

IAPUC shall not be liable for any direct, indirect, incidental, or consequential losses arising from User’s violation of these Terms, improper operational conduct, submission of false or incomplete materials, failure to cooperate with official review procedures, unauthorized information disclosure, or voluntary abandonment of service qualifications and review procedures.

IAPUC assumes no responsibility for the authenticity, validity, integrity, or accuracy of all qualification documents, application materials, and supporting information actively submitted and affirmed by Users.

8. Third-Party Links & External Resources Risk Exemption

The IAPUC official website may contain third-party hyperlinks, embedded functional tools, and cooperative service entries solely for User convenience. All external third-party platforms and resources are independently developed, operated, and managed by third-party entities with independent legal personality and independent service rule systems.

IAPUC exercises no control over third-party platform operations, privacy protection mechanisms, content compliance standards, or service quality. Users’ access to external third-party links and use of third-party services is entirely at the User’s own risk. IAPUC shall not bear joint liability for any personal injury, property loss, information leakage, or legal disputes arising from third-party platform usage.

9. Service Suspension, Restriction & Termination Mechanism

IAPUC reserves the right to restrict, suspend, or permanently terminate User account access, service privileges, membership qualifications, and accreditation application eligibility without prior notice under the following compliant circumstances:

(1) Material violation of these Terms, Privacy Policy, Refund Policy, Copyright Statement, or other official institutional regulatory documents;

(2) Fraudulent acquisition of service qualifications through submission of false, forged, or misleading materials;

(3) Utilization of IAPUC’s academic platforms, certification resources, or institutional reputation for illegal activities or improper profit-making behaviors;

(4) Repeated violations of academic ethics and service discipline with refusal to rectify non-compliant conduct;

(5) User conduct that causes adverse institutional reputation risks, academic disputes, or operational hazards to IAPUC;

(6) Other service termination scenarios required by applicable laws, regulatory provisions, and institutional compliance management rules.

Upon termination of User service qualifications, Users shall immediately cease all access to and utilization of IAPUC platforms, resources, and official services. All intellectual property protection provisions, liability disclaimer clauses, dispute resolution mechanisms, and restrictive covenants contained in these Terms shall survive termination and remain permanently legally binding.

10. Academic Ethics and Moral Compliance
All Users participating in IAPUC accreditation reviews, academic evaluations, training programs, academic conferences, cooperative research and all official academic activities must strictly abide by international higher education academic ethics norms, global scholarly integrity standards and IAPUC institutional moral codes. All academic behaviors and application submissions shall adhere to the principles of objectivity, authenticity, independence, honesty, transparency and good faith.
10.1 Prohibited Academic Misconduct
Users are strictly prohibited from engaging in any form of academic irregularities, including but not limited to plagiarism, falsification, fabrication, data tampering, academic fraud, false credential declaration, material forgery, duplicate submission, unauthorized academic speculation, and any behaviors that violate international academic integrity standards.
Institutional Users shall ensure that all institutional teaching quality, research achievements, operational data and qualification materials submitted for IAPUC accreditation review are true, valid and unmodified. Individual Users shall not fabricate academic backgrounds, training experiences, professional qualifications and relevant supporting information to defraud academic credentials and service qualifications.
10.2 Fairness and Impartiality Obligation
Users shall maintain academic fairness and impartiality during all IAPUC service processes. Users are prohibited from interfering with independent professional judgments of review experts, attempting to influence accreditation results through improper means, providing improper benefits, conducting private communication interference, or exerting inappropriate pressure on IAPUC administrative staff and expert teams.
10.3 Academic Credit and Citation Norm
In all academic reports, institutional self-evaluation documents, research achievements and public content submitted or released based on IAPUC service platforms, Users shall strictly abide by international academic citation specifications, respect third-party intellectual property rights and academic achievements, and standardize attribution and citation behaviors. Any form of academic infringement and unauthorized appropriation of others’ academic results is prohibited.
10.4 Violation Consequences
Once academic ethics violations and academic misconduct are verified, IAPUC has the right to take disciplinary measures including but not limited to service rejection, review termination, accreditation qualification revocation, membership disqualification, permanent blacklisting, and public institutional record keeping. Such violations shall be deemed fundamental breach of these Terms, and IAPUC reserves the right to pursue corresponding legal liabilities and economic loss compensation.
11. Policy Revision & User De Facto Acceptance

IAPUC retains the exclusive right to revise, update, supplement, and optimize these Terms to adapt to institutional service development, international academic standard upgrades, financial compliance iteration, and legal regulatory updates. Material revisions affecting User core rights and obligations will be publicly announced via official website channels in advance of implementation.

User’s continued access to platforms, submission of new applications, and payment for official services after the revised Terms take effect shall constitute full and unconditional acceptance of all updated clauses. Users are responsible for regularly reviewing the latest official Terms. Continued service usage constitutes ongoing compliance consent. If Users do not accept updated clauses, they must immediately terminate all use of IAPUC services.

12. Governing Law & Dispute Resolution Mechanism

These Terms are formulated in accordance with global non-profit academic organization operational norms and shall be governed and construed exclusively by the laws of the State of Colorado, United States, without regard to conflict of law principles. All clause interpretation, service execution, and transaction dispute resolution shall comply with applicable mandatory legal provisions.

In the event of any dispute, objection, or claim arising from service usage, clause interpretation, or contractual performance, both parties shall first resolve the matter through amicable negotiation. If negotiation fails, all unresolved disputes shall be finally submitted to the competent judicial authority of the State of Colorado for exclusive settlement.

13. Severability Clause & Complete Agreement

If any individual clause of these Terms is determined invalid, illegal, or unenforceable by a competent judicial or regulatory authority due to legal iteration or policy adjustment, the invalidity of such single clause shall not affect the validity, legality, and enforceability of all remaining clauses. The remaining provisions shall remain in full force and continue to bind both parties.

These Terms, together with all referenced official policies, constitute the entire agreement between IAPUC and Users, superseding all prior oral, written, or informal agreements related to subject service contents.
